The Capital Forge League (CFL) operates exclusively as a 501(c)(3) educational and charitable nonprofit. These rules safeguard our tax-exempt status, ensure a clear separation between our competition programs and capital formation, and maintain the highest integrity in our game-based environment.

The Seven Rules of CFL

CFL Is a 501(c)(3) Nonprofit

We function strictly as a tax-exempt educational entity. We are not a broker-dealer, funding portal, or investment adviser, and we neither host nor facilitate securities offerings. All capital formation must occur independently through StateCF.com or authorized third-party intermediaries.

Competition Is for Development, Not Finance

CFL runs a season-based competition where teams advance through campus, regional, and national stages based on objective scoring criteria. Public votes and expert evaluations measure educational impact and venture progress—they have no financial implications and do not allocate ownership interests or economic rights.

Votes Are Not Financial Endorsements

Rankings, awards, and public sentiment expressed via our platform are components of our educational curriculum. They do not constitute investment advice or recommendations to purchase securities in any venture.

The Cord Is a Championship Award

The Cord is a symbolic, prize-based championship award recognizing competitive excellence. It is not an investment contract, security, or equity instrument. While Cord winners may seek capital independently via StateCF.com, the award itself is strictly for recognition and nonprofit-funded prize grants.

Centralized Capital Formation

Ventures seeking capital must engage exclusively through StateCF.com or licensed intermediaries under Florida's Invest Local Act. CFL does not structure, market, or negotiate terms for any securities offerings.

Donations Fund Programs, Not Equity

Donor contributions support our core charitable mission: education, mentorship, and prize pools. Donors receive no equity or financial returns from competing ventures. Grants are awarded by an independent committee based solely on innovation, traction, and community impact.

Governance & Conflict Resolution

Officers and board members must disclose potential conflicts of interest and recuse themselves from scoring or grant decisions involving affiliated ventures. Our formal policies ensure strict institutional separation from all capital-raising activities.

Eligibility & Participation

Who Can Participate

  • Projects focused on sports tech, medical innovation, aviation, or veteran-led social impact.
  • Florida-based ventures or those with a defined Florida market strategy.
  • Participants acknowledging that CFL activities are educational, not financial advice or broker services.
  • Entities that maintain offerings on StateCF.com separately from their CFL participation.

What CFL Offers

  • Educational resources, workshops, and playbooks on capital formation.
  • Neutral referrals to StateCF.com.
  • Nonprofit-funded grants and non-equity awards for competition winners.
  • Platforms for public visibility, engagement, and non-binding community support.

What CFL Strictly Prohibits

  • Structuring or hosting any securities offerings.
  • Determining venture valuations or offering terms.
  • Collecting success-based fees on capital raised.
  • Acquiring equity or profit interests in participants.

Winners receive automatic promotion to StateCF.com to initiate formal, compliant capital formation.

Prizes & Charitable Grants

Beyond The Cord, we distribute nonprofit-funded prizes and grants based on traction, innovation, and community value. These awards are distributed by an independent committee and are entirely independent of investor returns or equity ownership, funded solely by our donors and sponsors.

The Cord award validates competitive achievement within our educational framework. It does not guarantee investment success, serve as a recommendation, or endorse any securities offering.
